This Agreement ("Agreement") is entered into between the undersigned participant ("Member") and [Course Provider], represented by its legal entity, PharmSue with its principal place of business at [Dallas,TX] ("Course Provider"). Member and Course Provider collectively referred to as "Parties".
PURPOSE OF AGREEMENT
1.1 The purpose of this Agreement is to set forth the terms and conditions under which Member may participate in the online course titled "From Pills to Pages" ("Course"). The Course is designed to provide guidance and assistance to Members in publishing children's books on Amazon. This Agreement also addresses certain legal implications associated with using an online course.
COURSE PARTICIPATION
2.1 Member agrees to participate in the Course provided by Course Provider. The Course may include, but is not limited to, educational materials, lectures, videos, exercises, and interactive components.
2.2 Member acknowledges that the Course is for educational and informational purposes only and does not guarantee the completion of a book. The Course is intended to serve as a guide to assist Members in their children's book publishing journey on Amazon.
CONFIDENTIALITY AND INTELLECTUAL PROPERTY
3.1 Member acknowledges that the Course, including all materials, content, and resources provided by Course Provider, are the intellectual property of Course Provider and are protected by copyright and other intellectual property laws.
3.2 Member agrees not to copy, reproduce, duplicate, distribute, or share any part of the Course materials, content, or resources, whether in physical or electronic form, without prior written consent from Course Provider.
LEGAL IMPLICATIONS
4.1 Member understands that the Course does not provide legal advice. Any information or guidance provided within the Course is intended to be general in nature and should not be considered as a substitute for professional legal advice.
4.2 Member acknowledges that Course Provider assumes no liability for any legal implications, consequences, or outcomes that may arise from Member's use of the Course or any actions taken by Member based on the Course content.
INTERACTIVE AND ENJOYABLE PARTICIPATION
5.1 Course Provider aims to create an interactive and enjoyable learning environment for Members. Members are encouraged to actively engage with the Course materials, participate in discussions, and utilize the provided resources to enhance their learning experience.
5.2 Member agrees to conduct themselves in a respectful and professional manner while participating in the Course. Any form of harassment, discrimination, or disruptive behavior will not be tolerated and may result in the immediate termination of Member's access to the Course.
TERM AND TERMINATION
6.1 This Agreement shall commence on the date of Member's enrollment in the Course and shall remain in effect for the duration of the Course.
6.2 Either Party may terminate this Agreement in the event of a material breach by the other Party. Upon termination, Member's access to the Course shall cease, and Member shall no longer be entitled to any Course benefits or materials.
GOVERNING LAW AND JURISDICTION
7.1 This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
NO REFUNDS
8.1 Member acknowledges and agrees that all fees and payments made for participation in the Course are non-refundable.
8.2 Course Provider does not provide refunds for any reason, including but not limited to Member's dissatisfaction with the Course, inability to complete the Course, or any other circumstances.
ENTIRE AGREEMENT
9.1 This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, or representations, whether written or oral.
IN WITNESS WHEREOF, the undersigned have executed this Agreement as of the date first acknowledged.
